Haitong (600837.SH) announced that the Shanghai Stock Exchange has made a decision to delist the company's A-shares on February 25, 2025, and the delisting will take effect on March 4, 2025.
After the delisting of the company's A-shares, Guotai Junan Securities Co., Ltd. ("Guotai Junan") will acquire Haitong through a stock swap merger (referred to as "this merger"). After the market closes on the stock registration day, all A-share shareholders of Haitong registered with the Shanghai branch of China Securities Depository and Clearing Corporation Limited will have their company shares exchanged for Guotai Junan's A-shares at a ratio of 1:0.62, meaning every 1 share of Haitong A-share can be exchanged for 0.62 shares of Guotai Junan A-share.
After the delisting of the company's A-shares on March 4, 2025, the A-share shareholders will no longer see the company's A-shares in their stock accounts. The corresponding stock value will not be reflected in the investors' account total value until the conversion of the company's A-shares to Guotai Junan A-shares is completed and the relevant procedures for the listing of the new A-shares are done. From the date of the new share listing, the original A-share shareholders' stock accounts will show Guotai Junan A-shares, and the corresponding stock value will be reflected in the investors' account total value.
