Orient Group Incorporation (600811.SH) announced that the company's stock had deviated by more than 20% from the closing price for two consecutive trading days on February 12th and 13th, 2025, which is considered abnormal stock trading volatility according to the Shanghai Stock Exchange Trading Rules.
On June 22, 2024, the company disclosed the announcement "Orient Group Incorporation Limited Liability Company Received Notice of Case Filing from the China Securities Regulatory Commission" (Announcement No.: Lin2024-046), stating that the company was suspected of illegal disclosure of information. According to the laws of the People's Republic of China Securities Law and the People's Republic of China Administrative Penalty Law, the China Securities Regulatory Commission decided to open a case against the company. During the investigation period, the company actively cooperated with the relevant investigations of the China Securities Regulatory Commission and strictly complied with the obligations of disclosure of information according to the relevant laws and regulations. If the subsequent administrative penalty determined by the China Securities Regulatory Commission touches upon the circumstances of mandatory delisting due to significant violations stipulated in the Shanghai Stock Exchange Listing Rules, the company's stock will be delisted.
Although the company has been advancing pre-restructuring, after comparing with the summary of the work meeting on handling bankruptcy and reorganization cases of listed companies issued by the Supreme People's Court and the China Securities Regulatory Commission on December 31, 2024 (Fa [2024] No. 309), the company conducted a self-inspection and found that due to the ongoing case investigation and the risk of mandatory delisting for significant violations, it falls under the situation described in Article 9 of the "Restructuring Summary" as "lacking the value as a listed company", and thus faces the risk of not meeting the conditions for restructuring.
