Andon Health (002432.SZ) announced that, following negotiations with Xiaomi Investment, its wholly-owned subsidiary Andon Hong Kong Co., Limited ("Jiuan Hong Kong") plans to sign a Share Transfer Agreement with Best Ventures Limited (formerly Xiaomi Ventures Limited, referred to as "Xiaomi Investment"). Xiaomi Investment will transfer its 20% stake in iHealth Inc. for a total of $ 45.91 million, based on the book value of the minority shareholders' equity and subject to negotiation by both parties. The transaction price is fair and reasonable. After the share transfer is completed, the company's ownership percentage of iHealth Inc. will increase from 80% to 100%, continuing to be included in the company's consolidated financial statements.
In recent years, the iHealth system's subsidiaries have closely focused on the company's "best-selling products" and accelerated the implementation of the "O + O" new model for diabetes diagnosis and care in China and the United States, with business expansion. As the use of test kit products continues to grow in the United States, the iHealth brand has significantly increased its visibility and influence in the local home medical health product market, earning a good reputation among users. This transaction will further support the development of the iHealth system's subsidiaries and strengthen control over the subsidiaries.
