Jiangsu Luokai Mechanical & Electrical (603829.SH) announced that the company recently received the decision from the Jiangsu Regulatory Bureau of the China Securities Regulatory Commission to issue a warning letter to Jiangsu Luokai Mechanical & Electrical Co., Ltd., Tang Xing, and Zang Yuanyuan (Document No. [2025] 28).
It is reported that the following violations occurred: In 2021, the company had related sales of 23.9968 million yuan with Shanghai Electric Co., Ltd. Renmin Electric Factory, and related purchases of 3.8753 million yuan with Sibelle Electric Co., Ltd., accounting for 3.28% and 0.53% of the audited net assets of the company in 2020, respectively. In 2022, the company had related sales of 72.0522 million yuan, 4.2573 million yuan, and 4.2295 million yuan with Shanghai Electric Co., Ltd. Renmin Electric Factory, Sibelle Electric Co., Ltd., and Fuzhou Yili Electric Equipment Co., Ltd. respectively, and related purchases of 4.3793 million yuan with Shanghai Multiplying Electric Technology Co., Ltd., accounting for 9.13%, 0.54%, 0.54%, and 0.55% of the audited net assets of the company in 2021, respectively.
The company failed to promptly perform the review procedures and disclosure obligations for the above related transactions, with the board of directors and shareholders' meeting procedures and disclosures completed only on April 27, 2023, and May 19, 2023, respectively, violating Article 3(1) and 41 of the Measures for the Disclosure of Information by Listed Companies (CSRC Order No. 182, hereinafter referred to as the "Information Disclosure Measures"). Chairman Tang Xing and Secretary of the Board of Directors Zang Yuanyuan failed to faithfully and diligently fulfill their duties, violating Article 4 of the Information Disclosure Measures and bear primary responsibility for the company's aforementioned violations.
