PACIFIC LEGEND (08547) announced that on January 21, 2025, the seller Miracle Ace International Limited (a wholly-owned subsidiary of the company) entered into an agreement with the buyer Zhang Zhiqiang to transfer documents. The seller has agreed to sell and the buyer has agreed to purchase the entire issued share capital of the company (Bright Enterprises Limited and Crest Enterprises Limited) at a total price of HKD 2 million. Upon completion, the selling company will no longer be a subsidiary of the company, and the financial information of the selling company will no longer be consolidated into the group's financial statements. Considering the current property market and the financial situation of the company, the directors believe that the sale and realization of the value of the properties held by the selling company will be beneficial to the company. The terms of the transfer documents and the proposed transactions are based on standard commercial terms, fair and reasonable, and in the overall interest of the company and its shareholders.
