China Merchants Bank (03968) announced that the company held a board meeting on January 20, 2025. The meeting discussed and unanimously approved the proposal to nominate Mr. Huang Yushan and Mr. Lu Liping as independent directors. The board nominating committee agreed to nominate Mr. Huang Yushan and Mr. Lu Liping as candidates for the twelfth session of the board of directors. The above resolutions will be submitted to the shareholders' meeting for approval, and if approved by the shareholders' meeting, they will need to be reviewed by the China Banking and Insurance Regulatory Commission for their qualification as independent directors. The terms of office for Mr. Huang Yushan and Mr. Lu Liping will start from the date when their qualifications as independent directors are approved by the China Banking and Insurance Regulatory Commission until the expiration of the twelfth session of the board of directors. Before Mr. Huang Yushan's qualification as an independent director is approved, Mr. Li Mengang will continue to perform the duties of an independent director and of the board committee in accordance with relevant laws and regulations and the provisions of the China Merchants Bank Articles of Association. Before Mr. Lu Liping's qualification as an independent director is approved, Mr. Liu Qiao will continue to perform the duties of an independent director and of the board committee in accordance with relevant laws and regulations and the provisions of the China Merchants Bank Articles of Association.
