Chengdu (300101.SZ) announcement: The recent dispute over the dissolution of the company's controlling shareholder, Chengdu Guoteng Electronics Group Co., Ltd. (referred to as "Guoteng Electronics Group"), has been re-examined and ruled by the Chengdu Intermediate People's Court in Sichuan Province. The court rejected the lawsuit filed by Mo Xiaoyu, Xie Jun, Xu Jin, and Bai Jie to dissolve Guoteng Electronics Group. Guoteng Electronics Group is expected to not be dissolved in the short term and will continue to exist as the controlling shareholder of the listed company.
Since shareholder He Yan holds 51% equity of Guoteng Electronics Group and can have a significant impact on the resolutions of Chengdu's shareholder meeting by controlling Guoteng Electronics Group, according to relevant laws, regulations, and normative documents, combined with the company's actual situation, the Board of Directors of the company has carefully assessed and determined that the listed company has changed from having no actual controlling shareholder to He Yan becoming the actual controlling shareholder.
