EDA GROUP HLDGS (02505) announced that on January 7, 2025, its indirect wholly-owned subsidiaries PT Flexlogis Investment Indonesia and Flexlogis Private Limited intend to acquire all the issued shares of the target company PT Samanea Logistics Property for approximately RMB 6,179,146. Upon completion, the target company will become an indirect wholly-owned subsidiary of the company, and the financial performance of the target company will be consolidated into the company's financial statements. It is reported that the target company (a limited liability company established under the laws of the Republic of Indonesia) is a real estate investment company specializing in logistics property investment and property management in the Republic of Indonesia. The target company currently holds two warehouses in Tangerang, near the Indonesian capital Jakarta. One warehouse covers an area of 5,000 square meters and is 12 meters high, while the other warehouse covers an area of 10,000 square meters and is 17 meters high. In order to meet the group's rapid business growth and future expansion, the group plans to have its own logistics and warehousing properties to drive its business growth in the Republic of Indonesia. The directors believe that the acquisition of the target company is a strategic move aimed at strengthening its end-to-end logistics solutions and increasing supply chain efficiency in the rapidly developing market. Considering Indonesia's strategic location in Southeast Asia, coupled with the continuous expansion of the e-commerce sector and increasing demand for efficient logistics services, the directors believe that entering into the sale and purchase agreement is in the company's interest. This investment not only strengthens the group's global warehouse network but also better prepares the company for future logistics and warehousing property investments in order to effectively meet the increasing demand in the Indonesian market, thereby promoting and enhancing the development and competitiveness of the region.
