Bomin Electronics (603936.SH) announced that its wholly-owned subsidiary, Shenzhen Bomin, currently operates in the PCB business and research, production, and sales of power semiconductor ceramic substrates and passive components. Shenzhen Bomin has leading domestic and international expertise in active metal brazing (AMB) ceramic substrate technology and production processes. The ceramic substrates produced using their self-developed brazing formula have superior performance, reliable quality, and cost advantages, meeting the reliability requirements of aerospace. Products have been certified in areas such as rail transit, industrial, and automotive industries and are gradually being mass-produced and applied by leading enterprises in the third-generation semiconductor power module sector. The business of power semiconductor ceramic substrates and passive components is a key focus of the company's innovation strategy. In order to optimize internal resources and asset structures and achieve the development strategy focusing on power semiconductor ceramic substrates, Shenzhen Bomin plans to transfer all assets and liabilities related to its PCB business to Bomin Electronics free of charge in accordance with the agreement. Employees related to this asset business will also be transferred according to relevant policies. Bomin Electronics agrees to accept the above-mentioned assets in accordance with the terms of the transfer agreement to achieve independent accounting, assessment, and incentives for the company's innovative business, promoting its rapid development. Based on preliminary calculations, as of September 30, 2024, the total assets related to this business amount to approximately 374.5032 million RMB, and liabilities amount to approximately 569.2943 million RMB. After the transfer, Shenzhen Bomin's remaining total assets are about 291.8548 million RMB, with net assets of approximately 178.9079 million RMB. This asset transfer is an internal resource adjustment, beneficial for Shenzhen Bomin to focus on power semiconductor ceramic substrates, achieving independent accounting, assessment, and incentives for its innovative business. This will promote the rapid development of the company's power semiconductor ceramic substrates and enhance the overall competitiveness of the company and Shenzhen Bomin, aligning with the current development strategy and overall interests of the company.
