On August 9, the China Securities Regulatory Commission (CSRC) disclosed the "Supplementary Materials Requirements for Overseas Issuance and Listing Filing (August 2, 2024 - August 8, 2024)", and the CSRC's International Department requested supplementary materials from 3 companies. Among them, Botai Car Networking was required to provide further clarification on the specific uses of the Internet map service qualifications held by its subsidiaries, and whether it involves foreign investment restrictions or prohibited businesses; whether its operations involve the collection and use of personal information, etc. It is reported that on June 28, Botai Car Networking Technology (Shanghai) Co., Ltd. (referred to as "Botai Car Networking") submitted an application for listing on the Main Board of the Hong Kong Stock Exchange, with CICC, Guotai Junan International, Zhongyin International, Huatai International, and CITIC SEC as joint sponsors. The CSRC International Department requested Botai Car Networking to provide supplementary explanations on the following matters, and to have lawyers verify and provide clear legal opinions: 1. Please explain the specific uses of the Internet map service qualifications held by the subsidiaries, and whether it involves foreign investment restrictions or prohibited businesses. 2. Please explain: (1) whether the business operations involve the collection and use of personal information, and if so, please explain the scale of information collected and stored, data collection and use; (2) whether the business operations comply with the provisions of the Data Security Law, Personal Information Protection Law, Interim Regulations on Management of Automotive Radar Radio, etc., and explain the arrangements or measures for fulfilling data security protection responsibilities and obligations before and after listing. 3. Please explain the progress of the compliance with the relevant state-owned shareholder state-owned asset management procedures. 4. Please explain whether there are any disputes, pledges, freezes, or other controversial situations related to the shares held by the shareholders participating in the "full circulation" in this transaction.
