On August 2, the China Securities Regulatory Commission announced the requirements for supplementary materials for overseas issuances and listings (from July 26, 2024 to August 1, 2024). Among them, the CSRC required Aerospace Man to provide additional information on whether the company's product quality control system is established and effectively functioning, as well as the measures taken to ensure food safety. According to the disclosure by the Hong Kong Exchanges and Clearing Limited on June 25, Inner Mongolia Aerospace Man Sand Industry Co., Ltd. (Aerospace Man) submitted an application for listing on the main board of the Hong Kong Exchanges and Clearing Limited, with China International Capital Corporation Limited as its sole sponsor.
Specifically, the CSRC announcement stated that Aerospace Man should provide supplementary explanations on the following matters and have lawyers verify and provide clear legal opinions:
1. The actual involvement of the company and its subsidiaries in licensed projects, whether necessary approvals or registrations have been obtained, and whether there are restrictions or prohibitions on foreign investment in certain areas.
2. Provide additional information on whether the share transfers involving state-owned shareholders of your company in October 2013 and August 2016 constitute restructuring, and whether relevant approval procedures have been followed.
3. Provide additional information on the business division when Inner Mongolia Aerospace Man High-Tech Industry Co., Ltd. was separated to establish your company; whether there have been administrative penalties for illegal marketing activities of products during the reporting period, and if so, whether they have a significant impact on this listing.
4. Provide additional information on whether the company's product quality control system is established and effectively functioning, as well as the measures taken to ensure food safety.
5. Provide additional information on: (1) the products developed and operated by your company and its subsidiaries, such as websites, apps, mini-programs, and public accounts, whether they involve providing information content to third parties, and if so, specify the types of information content and information security measures; (2) the scale of collection and storage of user information, data collection and usage, arrangements or measures for personal information protection and data security before and after listing.
6. Provide additional information on whether there are any disputed situations involving the shares held by the shareholders participating in this "full circulation."
