Xinming Life Technology (00474.HK): Termination of Subscription for IFGL Shares

Zhito Finance APP News: Xinning Life Technology (00474.HK) announced that, regarding the subscription for 2,102 IFGL shares, as the company and IFGL expect that the conditions precedent under the subscription agreement will not be fulfilled before the long-stop date (i.e., September 30, 2026), the parties entered into a termination agreement on September 17, 2026 to terminate the subscription agreement. From the effective date of the termination agreement, the company and IFGL have each been released from all their respective obligations, covenants, and undertakings under the subscription agreement, and neither party may make any claim against the other in respect of the subscription agreement or any act, matter, or thing relating to the subscription agreement. As the subscription agreement has been terminated, the subscription and the proposed issue of consideration shares will not proceed; accordingly, no circular will be sent to shareholders, and no extraordinary general meeting of shareholders will be convened.
