OpenAI has signed a 10 GW data center agreement in Ohio with SB Energy, a subsidiary of SoftBank. According to informed sources, this agreement is supported by a commitment from NVIDIA, aimed at helping OpenAI raise debt financing while avoiding substantial risk for NVIDIA. NVIDIA has agreed to guarantee the value of completed data centers for the project, starting from the first phase (approximately 5 GW of power). In return, NVIDIA will become the exclusive chip supplier for the first half of the Ohio project and hold equity in SB Energy. NVIDIA also has the option to later expand the guarantee to cover the entire campus. Sources indicate that NVIDIA's support is intended to facilitate financing for the project at a lower cost, and even if OpenAI is no longer a tenant, NVIDIA's guarantee can enhance lenders' confidence in the value retention of the data center. By guaranteeing the asset value of the data center instead of OpenAI's ongoing rental payments, this commitment structure significantly limits NVIDIA's risk exposure.
