ST Wenhui: The Board of Directors approved the proposals for the by-election of independent directors and the convening of an extraordinary general meeting.

ST Wenhui announced that the 26th meeting of the 7th Board of Directors will be held on August 10, 2026, to review and approve several proposals. Independent directors Zuo Shiping and Ran Keping have resigned, and the Board has agreed to nominate Jiang Chaohui and Zhou Donghua as candidates for independent directors, with a term until the end of the 7th Board of Directors. If both are elected, they will be elected to the corresponding positions in the Board's special committees. In addition, it has been decided to hold the second extraordinary shareholders' meeting of 2026 on August 26. Independent director Xie Debing voted to abstain on all proposals due to the company's ongoing investigation by the China Securities Regulatory Commission. The proposal to elect the above independent directors is subject to the resolution of the shareholders' meeting.
