Zhongke Sanhuan: Plans to acquire controlling stake in Ningbo Zhongdian Acousto-Optic Electronics Co., Ltd.

Zhongke Sanneng announced that the fifth special meeting of the ninth board of directors in 2026 reviewed and approved a proposal to sign a "Letter of Intent for Acquisition" with Ningbo Zhongdian Electromagnetic Acoustics Co., Ltd., as well as its controlling shareholder and actual controller, Yao Gang, to acquire the shares held by Yao Gang and other shareholders in order to gain control. This acquisition is expected not to constitute a major asset restructuring or a related party transaction.
