Debang Lighting: Completion of Partial Share Transfer in Major Asset Restructuring, Transaction Not Fully Implemented

Debang Lighting announced that the company will acquire 60,917,100 shares of Jiali Co., Ltd. through a cash payment, while also cash subscribing for an additional 100,000,000 newly issued shares. Upon completion of the transaction, the company will hold a total of 160,917,100 shares, accounting for 67.48% of Jiali Co., Ltd.'s total share capital. To date, the transfer of 60,917,100 shares has been registered; regarding the private placement, Jiali Co., Ltd. has paid the registration fee, and the company is waiting for the registration of the new shares. This transaction has not yet been completed.
