European Saint Electric: Adjustment of payment arrangements for the acquisition of equity of wholly-owned subsidiaries.

Osenc Electric announced that it will complete the acquisition of 100% equity of Producteers International GmbH of Germany in March 2025. After friendly negotiations with the seller, it is proposed to adjust the consideration, payment time, non-compete restrictions, and tax matters for the years 2026 and 2027 in the original "Equity Purchase Agreement" in order to optimize post-investment management, improve cross-border operations and decision-making efficiency, and accelerate the realization of industrial synergy effects. The proposal has been approved by the Fifth Meeting of the Fourth Board of Directors of the company.
