Ji Hua Group: Controlling shareholders and others sign "Supplementary Agreement" with Tonglu Junheng, intending to change control rights

Jihua Group announced that on February 6, 2026, the controlling shareholder Hangzhou Jinhui and individual shareholder Shaohui intend to transfer 202 million shares to Tonglu Junheng. After the completion of the transfer, the controlling shareholder will change to Tonglu Junheng, and the actual controller will change to Suertian. On July 16, the three parties signed a "Supplementary Agreement," clarifying the prerequisites for the transaction delivery, specific matters compensation, and other contents. The transfer of shares in this agreement still requires approval from Global New Materials, compliance confirmation from the Shanghai Stock Exchange, and the transfer of share registration. The completion of the transaction remains uncertain.
