Bojie Group: Terminates the transfer of a 2.46% stake in its affiliated company Huaxin Intelligent.

Bojie Corporation announced that on May 9, 2025, the company plans to transfer 2.46% equity of its invested joint venture Huaxin Intelligence to Hainan Runfeng for 5.9 million yuan, and at the same time, relinquish the pre-emptive right of other shareholders to transfer 0.87% equity to Hainan Runfeng. After the transfer is completed, the company will still hold 4.40% equity. Due to the inability of Huaxin Intelligence to form a unanimous shareholder resolution, the parties involved in the transaction have decided to terminate the equity transfer and signed a "Memorandum" after negotiation. The termination of this transaction will not have any adverse impact on the normal production, operation, and financial condition of the company.
