Tencent Holdings Limited and Tencent Music Entertainment Group announced on May 22 that the State Administration for Market Regulation issued the "Announcement on the Decision of Antitrust Review of the Acquisition of Equity of Himalaya by Tencent Holdings Limited with Additional Restrictive Conditions" on May 11, 2026. According to the "Decision" and the attached "Additional Restrictive Conditions Commitment Plan," we promise not to enter into or indirectly enter into exclusive copyright licensing contracts with copyright owners defined in the "Commitment Plan," and will terminate all existing exclusive licensing agreements in the specified period as stipulated in the "Commitment Plan" (Tencent Music Entertainment Group).
