The Announcement of Vacuum Group states that Mr. Luo Zhiming, one of the actual controllers, received the "Decision on Issuing a Warning Letter to Luo Zhiming" issued by the Guangdong Regulatory Bureau of the China Securities Regulatory Commission. Upon investigation, Luo Zhiming, as the actual controller and chairman of the company, signed a "Stock Holding Agreement" with Yan Haifen in October 2020, agreeing to sell 750,000 shares of Vacuum Group held by him to Yan Haifen, with Luo Zhiming holding them on behalf of Yan Haifen. The agreement was declared invalid by arbitration until January 2026. When Vacuum Group applied for its initial public offering of stocks and listing on the Growth Enterprise Board, Luo Zhiming did not disclose the above situation to the company and relevant intermediaries, violating the relevant provisions of the "Regulations on the Administration of the Initial Public Offering of Stocks".
