Civil Explosive Optoelectronics: Intends to acquire 51% of Xiamen Zhijie Precision's equity for 245 million yuan.

Mianbao Optical Electronics announced that the company plans to acquire 51% of the equity of Xiamen Xiazhi Precision Technology Co., Ltd. held by Xiamen Maida Intelligent Technology Co., Ltd. for 245 million yuan in cash. After the completion of this transaction, Xiazhi Precision will become a controlling subsidiary of Mianbao Optical Electronics and will be included in the company's consolidated financial statements. Prior to this transaction, the company had no relationship with the counterparty. In addition to this transaction, the company plans to purchase 49% of Xiazhi Precision's equity from Xiamen Maida by issuing shares. After this transaction is completed, the counterparty is expected to hold more than 5% of the total share capital of the company and is expected to become a shareholder holding more than 5% of the company's shares. This transaction constitutes a related party transaction, but not a major asset restructuring.
