Dongfeng Group: Controlling shareholder intends to be absorbed and merged, related proposal approved by shareholders' meeting.

Dongfeng Corporation announced that on August 22, 2025, its wholly-owned subsidiary Dongfeng Investment, which indirectly controls the company, plans to merge with the directly controlled shareholder Dongfeng Group Corporation. After the completion of this merger, the controlling shareholder of the company will be changed to Dongfeng Investment, while the indirect controlling shareholder and the actual controller remain unchanged. On March 9, 2026, the shareholders' meeting of Dongfeng Group Corporation approved the relevant special resolution, and the "Merger Agreement" has come into effect. The implementation of the merger is still subject to conditions being met/exemption, and it is uncertain whether it can be completed and the timing is still uncertain.
