Ragdell Corporation: A wholly-owned subsidiary plans to establish a joint venture with a wholly-owned subsidiary of Ningde Times to engage in the business of automotive domain control chips.

Tsinghua Unigroup announced that its wholly-owned subsidiary, Unigroup Spreadtrum, plans to jointly invest 300 million yuan with related parties such as Zhicheng Gaoyuan and Ningde Times, a wholly-owned subsidiary of Non-contact Group, to establish Unigroup Spreadtrum Technology, which will be engaged in the research and development, production, and sales of automotive domain control chips. Unigroup Spreadtrum will contribute 51% of the investment, while Ding Investment will contribute 5%. After the completion of the transaction, Unigroup Spreadtrum Technology will be included in Unigroup Spreadtrum's consolidated financial statements. After the establishment of Unigroup Spreadtrum Technology, it plans to acquire the evaluated automotive domain control chip business assets from Unigroup Spreadtrum using cash funds at the evaluated price. The evaluated price of the asset group is 193 million yuan, with an evaluation appreciation rate of 3,723.15%. From a business development perspective, the automotive domain control chip business will operate independently, with the participation of Ding Investment in the investment, which will help enhance the cooperation with the company and its top customers, further improve product definition, technological innovation capabilities, and product competitiveness.
