Jinko Environment: Supplementary Confirmation of Two Related Transactions, Involving Donations and Paid-In Capital Matters

Jinke Environment announced that the company has supplemented and confirmed two related party transactions. The first is that the holding subsidiary Yuanping Zhonghe Water Affairs plans to donate a total of 10 million yuan to the Wuhan University Education Development Foundation for scholarships from 2023 to 2027. This is considered a related party transaction because the chairman of the company, Zhang Huichun, is also a director of Wuhan University. As of the date of the announcement, 4 million yuan has already been paid. The second transaction is that in 2024, the wholly-owned subsidiary Hainan Jinke transferred 3.43 million yuan of registered capital to the associated joint venture company Lankao Jinke, which is now a wholly-owned subsidiary. On December 22, 2025, the board of directors approved the relevant resolution, with related directors abstaining from voting. Shareholder approval is not required, and this does not constitute a major asset restructuring.
