Huitong Energy: Signed "Equity Transfer Agreement"

Announcement of Huitong Energy: The company signed a "Equity Transfer Agreement" with Xinghua Semiconductor Technology Co., Ltd. and its controlling shareholder Shaoxing Xinxing Enterprise Management Co., Ltd. on October 27, 2025, intending to acquire 7.43% equity stake held by Shaoxing Xinxing in Xinghua Semiconductor. The total transaction consideration is 184 million yuan, with a conversion price of 1.5 yuan/registered capital. The company directly paid 123 million yuan to the target company as registered capital and paid a transfer price of 61.3 million yuan to Shaoxing Xinxing.
