Starry Sky Chinese: Chinese Culture Shanghai, Chinese Culture Tianjin, Shanghai to Hua and Beamingstars will no longer be the controlling shareholders of the company respectively.
Star Sky Chinese Evening announced on the Hong Kong Stock Exchange that the company has been informed that the parties acting in concert have entered into a supplementary agreement to the joint control agreement on December 22, 2025. Under this agreement, the contracting parties agreed that Huaren Culture Shanghai, Huaren Culture Tianjin, Shanghai Zhihua, and Beamingstars have officially released from the constraints of the joint control agreement, and are no longer bound by all rights and obligations under the joint control agreement. After Huaren Culture Shanghai, Huaren Culture Tianjin, Shanghai Zhihua, and Beamingstars exit the joint control agreement and sign the supplementary agreement, they will no longer be the controlling shareholders of the company. Additionally, in accordance with the Securities and Futures Ordinance, the new parties acting in concert will no longer be considered to have rights in the shares held by Huaren Culture Shanghai, Huaren Culture Tianjin, Shanghai Zhihua, and Beamingstars. Therefore, the total shareholding of the new parties acting in concert will remain unchanged. The board of directors believes that the above matters will not have a significant adverse impact on the operation of the group.
