New Energy: Subsidiary Inner Mongolia Energy plans to transfer 79.92% of the property shares of the partnership enterprise.

New Energy Announcement: In order to facilitate the establishment of the first phase asset-backed special plan, on December 18, 2025, the transfer agreement of the partnership enterprise has been signed. According to this agreement, Inner Mongolia Energy will transfer 79.92% of the property shares of the partnership enterprise to the manager. Except for the amount to be paid for the actual contribution of the partnership enterprise, no additional cost is required for the transfer of the target shares. The transfer price will be determined by Inner Mongolia Energy and the manager based on the contributions subscribed and paid by Inner Mongolia Energy to the partnership enterprise, after negotiation on a fair basis.
