CITIC Bank: No Longer Establishing Board of Supervisors

CITIC Bank Announcement: Recently, the bank received the approval from the China Banking and Insurance Regulatory Commission on the revision of the company's articles of association. The revised "CITIC Bank Limited Articles of Association" have been approved and come into effect. Starting from December 16, 2025, the bank will no longer establish a board of supervisors, and the Audit Committee of the Board of Directors will exercise the powers of the board of supervisors as stipulated in the Company Law of the People's Republic of China and regulatory requirements. The rules of procedures for the meetings of the CITIC Bank Limited Board of Supervisors, the management measures for the topics of the board of supervisors, and the rules for the various specialized committees under the board of supervisors will be abolished. Mr. Wei Guobin, Ms. Sun Qixiang, Ms. Li Rong, Mr. Cheng Pusheng, Mr. Zhang Chun, and Ms. Zeng Yufang will no longer serve as supervisors of the bank.
