Country Garden: Intends to issue mandatory convertible bonds.

On November 14th, Country Garden announced on the Hong Kong Stock Exchange about proposed restructuring transactions, involving: - proposing to issue mandatory convertible bonds under special authorization; - proposing to issue SCA warrants under special authorization; - proposing to issue new shares under special authorization according to the arrangement of work expenses and restructuring support agreement fees; - proposing to issue new shares under the bilateral loan solution from DaFeng Bank; - related transactions concerning the capitalization of shareholder loans; - proposing to adopt a management incentive plan; - and related transactions concerning the sale of equity interests in certain subsidiaries and offsetting of shareholder loans, as well as related ongoing transactions.
