Bank of Communications: Ministry of Finance becomes a controlling shareholder.

The Bank of Communications announced that Guotai Haitong Securities issued continuous supervisory opinions on the acquisition of the Bank of Communications shares by the Ministry of Finance in the third quarter of 2025. Before the acquisition, the Ministry of Finance held 23.88% of the shares; after the acquisition, the stake reached 35.02%, becoming the controlling shareholder. This acquisition meets the conditions for exemption from a tender offer, has obtained approval from the Shanghai Stock Exchange and approval from the China Securities Regulatory Commission for registration, the issuance and listing of shares have been completed, and the industrial and commercial change registration has not been completed. During the continuous supervisory period, the acquirer fulfilled its disclosure obligations, did not violate commitments, did not propose adjustments to the main business or asset disposal plans, did not violate corporate governance regulations, and did not harm the interests of the company.
