Sichuan Chengyu announced that its holding subsidiary Sichuan Chengya Expressway Co., Ltd. has signed the "G5 Jingkun Expressway Chengdu to Ya'an Section Expansion Project Engineering General Contract" with Sichuan Provincial Transportation Construction Group Co., Ltd., Sichuan Highway and Bridge Construction Group Co., Ltd., and Sichuan Gaolu Information Technology Co., Ltd. The maximum contract prices of the contracts are approximately 13.131 billion yuan, 3.907 billion yuan, and 0.856 billion yuan respectively. This transaction constitutes a related party transaction but does not constitute a major asset restructuring. In the 12 months prior to this related party transaction, the cumulative amount of transactions of the same category between the company and the same related party or different related parties did not exceed 5% of the company's most recent audited net assets. The transaction has been approved by the 12th special meeting of the 8th Board of Directors and the 40th meeting of the 8th Board of Directors of the company, with related directors abstaining from voting. This transaction still needs to be submitted to the company's shareholders' meeting for approval.
