Sumitomo Intelligent Announcement: The "Share Transfer Agreement" and the "Voting Rights Waiver Agreement" signed by Mr. Qian Bingjie, Mr. Cen Tengyun, Mr. Ji Yongcong, Mr. Wang Xuezhou, Mr. Hu Shaoshui, Shengjie Investment, Mr. Li Yufeng, Shengying Investment and Hubei Changjiang Aerospace Science and Industry Investment Co., Ltd. have been terminated. Due to the fact that the transferee Changjiang Aerospace did not obtain the approval of the competent state-owned asset regulatory agency, the conditions for the effectiveness of the agreement were not met. Both parties signed an agreement to release the agreement on November 7, 2025, terminating the planned change in control. The termination of the share transfer agreement and the waiver of voting rights will not have any impact on the company's governance structure and continuous operation.
