Rayco Defense Announcement: In order to further enhance the company's ownership of core assets, strengthen control over subsidiaries, advance the company's development strategy, and improve decision-making efficiency, the company has decided to acquire a 24.4004% stake in subsidiary Yaoyun Technology held by Xi'an Dingli Yun Yao Technology Partnership Enterprise and Beijing Rayco Ruiheng Technology Center. After this acquisition, Yaoyun Technology will become a wholly-owned subsidiary of the company. According to the Asset Valuation Report issued by Golden Certificate Asset Appraisal Co., Ltd., with the valuation date set as August 31, 2025, the assessed value of Yaoyun Technology's total equity using the income method is 480 million RMB. After friendly negotiations among all parties, the transaction price is based on the valuation value, with the 24.4004% stake held by the transaction party transferred at the assessed value, and the transaction price is 117 million RMB.
