Tianhua Renewable Energy: Contemporary Amperex Technology Co. Ltd. (CATL) plans to acquire 12.95% stake in the company.

Tianhua Xineng announced that on October 31, 2025, the actual controllers of the company, Mr. Pei Zhenhua and Ms. Rong Jianfen, signed a "Share Transfer Agreement of Suzhou Tianhua Xineng Energy Technology Co., Ltd." with CATL. Mr. Pei Zhenhua and Ms. Rong Jianfen intend to transfer a total of 1.08 billion shares of the company's unrestricted tradable shares to CATL through an agreement transfer method, at a transfer price of RMB 24.49 per share, with a total transfer price of RMB 26.35 billion. This agreement transfer does not trigger a tender offer, does not constitute a related party transaction, and will not result in a change in the company's controlling interest. CATL has pledged not to reduce its holdings of the company's shares acquired through this share transfer for 18 months from the date of completion of the transfer registration.
