Ang Li Education: Ang Li Education plans to acquire 100% equity of Shanghai Leyou Yutu International Travel Agency Co., Ltd. for 38 million yuan.

Announcement of Enli Education: its wholly-owned subsidiary, Shanghai Enli Xiaoyao Culture Tourism Co., Ltd., intends to acquire 100% equity of Shanghai Leyou Yutu International Travel Agency Co., Ltd., held by Shanghai Xianghong Culture Tourism Development Group Co., Ltd., for a transaction consideration of 38 million RMB. The payment for this transaction will be made in two installments, with the first installment of 35 million RMB and the second installment of 3 million RMB. Shanghai Xianghong has committed that the total audited operating income of Shanghai Leyou from 2025 to 2028 will not be less than 480 million RMB, and the total audited net profit will not be less than 5 million RMB. If the performance commitment is not met, compensation will be paid to the company proportionally.
