Changchun FAWAY Group Automobile Components (600742.SH): Proposed change of actual controller to the State-owned Assets Supervision and Administration Commission of the State Council

Changchun FAWAY Group Automobile Components (600742.SH) announced that its controlling shareholder, Jilin Yadong State-owned Capital Investment Co., Ltd. ("Yadong Investment"), plans to transfer its 15.45% stake in the company to China FAW Group Co., Ltd. ("FAW Group") free of charge. At the same time, FAW Group will acquire a 29.84% stake in the company's third-largest shareholder, FAWER Automotive Parts Co., Ltd. ("FAWER Automotive Parts"), through a free-of-charge transfer. FAW Group indirectly holds a 25.70% stake in FAWER Automotive Parts through its wholly-owned subsidiary FAW Equity Investment (Tianjin) Co., Ltd. ("FAW Equity"), bringing its total shareholding to 55.54%, and it will become the controlling shareholder of FAWER Automotive Parts. If the aforementioned free-of-charge transfers are completed, the company's controlling shareholder will change from Yadong Investment to FAW Group (holding a total of 38.39% of the company's shares, of which FAW Group directly holds 15.45%, indirectly holds 14.94% through FAW Equity, and indirectly holds 8% through its concert party FAWER Automotive Parts), and the company's actual controller will change from the State-owned Assets Supervision and Administration Commission of the People's Government of Jilin Province to the State-owned Assets Supervision and Administration Commission of the State Council ("SASAC of the State Council").
