Morgan Stanley reiterates "Overweight" rating on Shopify (SHOP.US): In an era of fragmentation, the platform is actually more valuable
Morgan Stanley reiterates its Overweight rating and US$192 price target on Shopify, judging that the earnings miss reflects overheated expectations rather than weakening demand, and explicitly recommends buying the pullback.
Note that after the Q3 report was released, Shopify's (SHOP.US) stock price came under pressure because the "beat was not large enough." But Morgan Stanley made its position clear in its latest research report: this is not a demand problem, but an expectations problem, and investors should "buy the pullback." The firm reiterated its Overweight rating with a price target of US$192.
Morgan Stanley's core judgment is to distinguish between "expectations" and "demand." Q3 revenue was about US$3.7 billion, up 32% year over year, with gross profit growth of 28%, which looks not bad, yet fell short of the high bar that had been raised by the buy side during the quarter. Morgan Stanley believes this "disappointment" precisely shows that, driven by the AI narrative, the stock price had already priced in too much in advance. The real fundamentals have not weakened: gross merchandise volume was about US$119 billion, with growth holding steady at 30% on a constant-currency basis; the reported growth rate slowed from 32% to 29.5%, purely an accounting effect of the currency shift from a tailwind to a headwind.
In Morgan Stanley's view, Shopify's scarcity lies in the fact that it simultaneously possesses three attributes: "durable growth, operating leverage, and expanding AI relevance," which are rare in the current market. Supporting this judgment is the breadth of growth: North America constant-currency GMV grew 28% for three consecutive quarters, international growth was 32%, Europe constant-currency growth was 33%, offline growth was 30%, and B2B surged 74%. More importantly, 55% of new offline acquiring merchants are entirely new customers to Shopify, and Morgan Stanley judges on this basis that retail is becoming an independent customer acquisition channel for the platform, rather than merely an extension of the existing online business.
"Operating leverage" also has concrete evidence. Shopify Payments penetration exceeded 68%, up about 3 percentage points year over year; merchant solutions revenue grew 35%, outpacing GMV growth, and the overall take rate rose to 2.44%. On the profit side, Q3 gross margin was 47.6%, flat quarter over quarter, and free cash flow was US$816 million, a 22% margin, above the market expectation of 20%. Morgan Stanley specifically noted that conversations with the AI assistant Sidekick grew 14% quarter over quarter, while cost per interaction fell 28% and total cost fell 18%, indicating that AI inference costs have not spiraled out of control with usage, which is precisely why it is bullish on "AI relevance" rather than viewing it as a burden.
The logic Morgan Stanley is most bullish on is that "the more fragmented commerce becomes, the more valuable Shopify is." As AI shopping entry points become dispersed, merchants instead have more incentive to centralize product catalogs, inventory, checkout, and payments on Shopify, allowing the company to share in the dividends of AI commerce without owning the final consumer entry point. Morgan Stanley positions it as a "channel-agnostic agentic commerce winner." The evidence: AI-referred orders grew 3.3x year over year, conversion was 64% higher, and about 74% of AI-attributed purchases came from outside the platform's top 100 categories, showing that AI is revitalizing long-tail merchants.
As for the blemishes the market worries about, Morgan Stanley is equally clear: Q4 free cash flow margin will "modestly fall short" of expectations, but this is only an "intra-year pacing issue" caused by a shift in marketing spend, holiday-season investment, and higher cash taxes, and operating leverage is expected to re-emerge in 2027.
On valuation, Morgan Stanley acknowledges that 41x 2028 expected EV/FCFF is "still expensive," but on a growth-adjusted basis it is only 1.6x, in line with the sector, and therefore still attractive. The US$192 price target implies about 35% upside, with a bull case of US$293 and a bear case of US$90. Morgan Stanley's final conclusion is: a "not stunning enough" earnings report does not change its long-term confidence in Shopify as an AI commerce winner.
