Beijing time in the early hours of November 4, RF chip leader Skyworks Solutions, Inc. (SWKS.US) released its fiscal 2026 fourth-quarter and full-year results on November 3 US Eastern Time (fiscal quarter ended October 2). Because the merger transaction with Qorvo was completed only after the fiscal quarter ended, this quarter's financial report still reflects Skyworks Solutions, Inc. on a standalone basis, and this is also the last "standalone report card" before the merger closing. The company also provided guidance for the first quarter after the merger and said it targets achieving more than US$500 million in annual cost synergies within 24 to 36 months after closing.
Q4 standalone results: revenue US$1.05 billion, profitability pressured by restructuring and merger costs
The financial report shows that Skyworks Solutions, Inc.'s fourth-quarter standalone revenue was US$1.046 billion, down about 5% from US$1.1 billion in the same period last year; full-year revenue was US$3.96 billion, compared with US$4.09 billion a year earlier. GAAP diluted earnings per share for the quarter were US$0.15, sharply lower than US$0.94 in the same period last year, mainly dragged down by one-time items such as restructuring, impairment and other charges (US$82.1 million), and merger-related expenses; excluding these, non-GAAP diluted earnings per share were US$1.28, compared with US$1.76 a year earlier. Non-GAAP gross margin was 44.4% (46.5% a year earlier), and non-GAAP operating margin was 21.7% (24.0% a year earlier). Free cash flow for the quarter was -US$61 million, mainly because capital expenditure rose to US$94.7 million; however, the company holds US$2.6 billion in cash, and its balance sheet is ample.
First-quarter guidance after the merger: revenue of US$1.8 billion to US$1.9 billion
Guidance for the first fiscal quarter after Qorvo is consolidated (the first quarter of fiscal 2027) is: combined revenue of US$1.8 billion to US$1.9 billiona midpoint of about US$1.85 billion, of which legacy Skyworks Solutions, Inc. contributes about US$1.07 billion and legacy Qorvo about US$780 million (this will be the last time the company discloses the two businesses separately); compared with the two companies' combined revenue of about US$1.98 billion in the September quarter, this is a quarter-over-quarter decline of about 7%, and after excluding the extra week in Qorvo's fiscal quarter (which contributes about US$70 million in revenue), the decline narrows to about 3%. At the midpoint, non-GAAP diluted earnings per share guidance is US$1.25 (calculated on about 241 million diluted shares, including about US$50 million in merger financing interest and other expenses).
By business, the smartphone business is expected to decline by a high-teens percentage quarter-over-quarter, reflecting seasonality, weakness in the Android market (the company will continue to focus on high-end models), and the extra week in Qorvo's prior quarter; while Diversified Growth Markets are expected to still grow by a low-single-digit percentage quarter-over-quarter after excluding the impact of the extra week, and grow by a high-single-digit to low-double-digit percentage year-over-year on a combined basis, accounting for more than 40% of sales, led by data center and defense businesses.
"A new chapter": full-stack RF platform + four major growth markets
Chief Executive Officer Phil Brace declared: "Today marks the beginning of a new chapter for Skyworks Solutions, Inc. The combination with Qorvo gives us the scale and technological breadth to lead the next era of wirelessas AI moves from infrastructure to the devices, vehicles and machines around us." He noted that the combined company's product portfolio covers, for the first time, the complete RF front end from power management to antenna, and will benefit from a new cycle of RF complexity driven by 5G-Advanced and 6G; in diversified markets, the two sides' complementary RF GaN, power and timing technologies will extend reach into four long-term growth markets: physical AI and edge connectivity, defense and aerospace, infrastructure, and automotive.
On synergies, CFO Philip Carter said the company expects to realize about US$150 million of synergies in operating expenses within fiscal 2027 (concentrated in the second half), and to reach an annualized run rate of US$250 million to US$300 million by the end of fiscal 2027; the company remains committed to its target of more than US$500 million in annual cost synergies within 24 to 36 months after closing.
The financial report also disclosed several positive post-merger developments: Moody's Corporation upgraded the company's credit rating to investment grade (Baa3), and Fitch confirmed the BBB+ rating and revised its outlook from "negative" to "stable"; management team integration and the merger of human resources systems have been completed. On the business side, the company won AI data center network timing design orders (covering 1.6T switches and others) and began shipping high-performance timing chips to the rack systems of leading AI cloud providers; in automotive electronics, it won an order from a German Deluxe Corporation automaker for gate drivers for electric vehicle traction inverters and several new infotainment projects.
It is worth noting that although the Philadelphia Semiconductor Index surged 2.64% on the night the results were released and chip stocks rose broadly, Skyworks Solutions, Inc.'s share price instead fell sharply by 16% in after-hours tradingthis contrast precisely shows that what the market voted against with its feet was not the company itself, but the "time gap" exposed by this financial report: the merger story belongs to the future, while the reality of the financial statements is under pressure now. The three points that make investors most uneasy are clearly visible: first, the midpoint of non-GAAP earnings per share guidance for the first quarter after the merger is US$1.25, actually lower than Skyworks Solutions, Inc.'s standalone Q4 figure of US$1.28, with diluted shares expanding to about 241 million, and the dilution effect of "more revenue but no more profit" is the first to materialize; second, merger financing interest is about US$50 million per quarter, gross margin fell by more than 2 percentage points year-over-year, and Q4 free cash flow turned negative, leaving little room for relief on the profit side in the near term; third, the US$500 million synergy effect will not be fully realized until 24 to 36 months after closing, and only about US$150 million will be visible on the FY2027 books, which is far from enough to quench near-term thirst.
