Recently, the most important change in the third-quarter earnings report of Cipher Digital (CIFR.US), which is accelerating its transformation from a bitcoin miner into a large-scale developer and operator of high-density AI/HPC (high-performance computing) data centers, is arguably the first recognition of AI/HPC leasing revenue: leasing began after the initial capacity delivery at Black Pearl, and the company has taken a step verifiable by revenue in its shift from a bitcoin miner to an AI data center developer and operator. However, the new business has not yet fully replaced the old business, and the first rent collection cannot currently be equated with the complete transformation from a mining company to an AI data center operator.
The company's latest earnings report shows that third-quarter total revenue was approximately US$26.701 million, down 62.8% year-over-year and up 7.5% quarter-over-quarter; of that, HPC-related leasing revenue was US$5.852 million, accounting for about 21.9%. Net profit attributable to common shareholders in the third quarter was US$31.605 million, compared with a loss of US$3.283 million in the same period last year. On the basis of this net profit, the company can be said to have turned profitable for the first time in nearly three years; adjusted EBITDA, however, swung from a profit of US$40.79 million in the same period last year to a loss of US$9.963 million, largely indicating that the book turnaround has not yet corresponded to a comprehensive improvement in ongoing operating profitability.
Compared with the consensus revenue estimate of US$40.63 million compiled by Zacks before the earnings report, actual revenue was about 34.3% lower. Investors need to assess two facts at the same time: the contraction in mining revenue is affecting current-period performance, while the AI revenue contribution related to data center rents focused on AI GPU computing cluster services is still in its early stages, and the pace of subsequent data hall delivery and lease commencement will determine when the revenue gap is filled.
US$16.6 billion in lease contracts underpins the long-term outlook: scarce power must be turned into deliverable data halls
The latest earnings data show that, as of the end of September, the company had signed HPC total facility capacity of 700MW, cumulative contracted revenue over the contract term of US$16.6 billion, and a weighted average lease term of 17.3 years. In addition, the company estimates average annual project net operating income (NOI) of about US$843 million, which is revenue minus project operating expenses for the specified future period and does not deduct corporate headquarters expenses, financing costs, or capital investment, and therefore cannot be directly treated as shareholder free cash flow. That is, the company's latest estimate is that, over the contract forecast period from August 2026 to July 2041, average annualized project net operating income will be about US$843 million; this metric has not yet deducted corporate headquarters expenses, financing costs, or capital investment, and cannot be directly equated with shareholder free cash flow.
The US$843 million figure uses an average annualized basis over a contract forecast period, specifically calculated as follows: taking the average of the projected monthly project net operating income (NOI) during the period from August 2026 to July 2041, and then multiplying by 12. The endpoint corresponds to the end of the base lease term for the Black Pearl project. Therefore, it indicates how much project-level operating income the company expects to generate on average each year during this period, and does not mean that US$843 million will be achieved in 2027 or in every year; phased delivery, lease commencement timing, and rent changes will cause annual returns to differ.
Barber Lake best reflects the value and cost of this transformation: the lease arrangement was extended to 20 years, with cumulative contracted revenue of about US$9.1 billion; each data hall is planned to be delivered and leased in batches from the fourth quarter of 2026 to the first quarter of 2027. However, changes in customer demand and design have brought additional investment, and the company bears the first US$359.3 million exceeding the original budget; for costs above this threshold, about 50% is compensated by the tenant through long-term additional rent. The contract is longer and revenue visibility is higher, but the upfront funding burden also increases accordingly.
Adjustments to customer demand and design changes increased the construction cost of the Barber Lake project. Under the cost-sharing arrangement, of the cumulative amount exceeding the original budget, the first US$359.3 million is fully borne by Cipher; if the overrun expands further, the portion exceeding US$359.3 million is 50% compensated by the tenant, with the remainder still borne by Cipher. The tenant's compensation will be paid gradually through additional rent over the 20-year lease term and includes an agreed capital return. Therefore, although this arrangement shares part of the overrun, Cipher still has to bear a relatively large upfront capital investment and a long payback period.
The latest update expands the development pipeline to about 5.9GW, but the development reserve does not equal signed, energized, or financed capacity. From an engineering and business model perspective, Cipher's advantage lies in power access, land, and project construction capabilities: AI tenants need high-density data halls that can operate sustainably and have reliable power supply and cooling, so the mining site transformation therefore goes far beyond replacing computing equipment. The company is also developing a natural gas spur line to support potential on-site power generation of up to 2.5GW, adding a power supply path beyond grid interconnection; its value will ultimately depend on the actual commissioning date and unit construction cost.
Zero-coupon financing still comes at a cost: stock re-rating depends on cash return per share
In October, the company completed US$850 million in zero-coupon convertible notes due 2032 to support additional equity investment in Barber Lake and project development. The initial conversion price is about US$15.31; the company also paid US$89.7 million to purchase capped call options to mitigate potential dilution, and exchanged about 40.7 million shares for US$165.9 million of old convertible notes. The zero coupon reduces near-term cash interest burden, but equity dilution, principal repayment, and financing-related costs still exist.
This is also the key disagreement between Wall Street analysts, who are bullish on long-term value, and the market, which still suppresses the share price. UBS Group AG initiated coverage in September with a "Buy" rating and a target price of US$23, emphasizing tenant quality, lease economics, and delivery progress; Cantor maintained "Overweight" in October but cut its target price from US$28 to US$19. Based on the closing price of US$7.29 on October 30 after a 10% decline, the two imply upside of about 215.5% and 160.6%, respectively, and both were judgments made before this earnings report was released.
The market's investment thesis for Cipher is shifting from bitcoin price elasticity to long-term infrastructure cash returns. The most significant catalyst in the next stage is more capacity being delivered on budget and beginning to collect rent; the most important constraint is how much additional capital and financing arrangements will consume of the returns ultimately attributable to each share. Only when rental growth gradually covers operations, financing, and ongoing investment can the massive lease contracts drive a sustainable valuation re-rating.
