ANDRE JUICE (02218) appoints JIANGQIHE as Chief Scientist

ANDRE JUICE (02218) announced that Yantai North ANDRE JUICE Co., Ltd. (hereinafter referred to as the "Company") on September 18, 2026 respectively signed the "Asset Purchase Agreement" with the relevant shareholders of Ningbo Yongqiang Technology Co., Ltd. (hereinafter referred to as the "Target Company"). According to the relevant agreement, after the completion of this delivery, the Company will appoint Mr. JIANGQI HE and Mr. QIANG YUAN as senior management personnel (not the chief executive officer), and the actual controller team of the Target Company undertakes to work full-time for more than 8 years from the delivery date, and shall not engage in the same business within 10 years after leaving. In view of the fact that this transaction has been fully delivered, upon nomination by Mr. Zhang Hui, President of the Company, the Company held the 15th meeting of the ninth Board of Directors on November 2, 2026, at which it deliberated and passed the "Proposal on Appointing Mr. JIANGQIHE as Chief Scientist and Vice President of the Company and Confirming His Remuneration Plan" and the "Proposal on Appointing Mr. QIANGYUAN as Chief Technology Officer and Vice President of the Company and Confirming His Remuneration Plan", agreeing to appoint Mr. JIANGQIHE (please see the attachment for his resume) as Chief Scientist and Vice President of the Company; and agreeing to appoint Mr. QIANGYUAN (please see the attachment for his resume) as Chief Technology Officer and Vice President of the Company, with the term of office from the date of approval by this Board meeting to the date of expiration of the term of the current Board of Directors.
