XIN YUAN ENT (01748): Ocean Vivo Limited acquires 32,354,700 shares of the company from Chen Yanbiao

XIN YUAN ENT (01748) and the offeror Ocean Vivo Limited jointly announce that on October 29, 2026, the offeror and Mr. Chen Yanbiao (executive director) (the seller) entered into a share purchase agreement (the Share Purchase Agreement), pursuant to which the seller has agreed to sell, and the offeror has agreed to purchase, 32,354,700 shares (representing approximately 7.35% of the total number of issued shares as at the date of this joint announcement), for an aggregate consideration of HK$71.5039 million (equivalent to HK$2.21 per share) (the Purchase Price). Assuming there is no change in the issued share capital of the Company on or after the date of this joint announcement, upon completion: the seller will no longer hold any shares in the Company; and the offeror will hold a total of 123 million shares (representing approximately 28.07% of the total number of issued shares as at the date of this joint announcement).
