GLORY SUN LAND (00299) announces that on 23 October 2026, the Company received a letter from the Stock Exchange (the Letter), stating that the Listing Committee of the Stock Exchange (the Listing Committee) has decided to cancel the listing status of the Shares under Rule 6.01A(1) of the Listing Rules (the Decision), on the grounds that the Listing Committee considers that the Company has not fulfilled all the resumption guidance by 30 September 2026 and has not resumed trading in the Shares on the Stock Exchange. In particular, under the resumption guidance, the Stock Exchange considers that the disclaimer of opinion remains unresolved and the 2025 annual results and subsequent financial results have not been published (Resumption Guidance 1 and Resumption Guidance 2); the Company has neither published the unpublished financial results nor provided sufficient supporting information to demonstrate its compliance with Rule 13.24 of the Listing Rules (Resumption Guidance 3); and the Company has not yet published financial results and reports to provide sufficient financial and operational information to its shareholders and the public (Resumption Guidance 4). In addition, the Listing Committee has also rejected the application for an extension on the grounds that the Committee considers that the Company's circumstances do not meet the criteria set out in paragraphs 22 and 23 of Guidance Letter GL95-18 for granting an extension of the resumption deadline. Under Chapter 2B of the Listing Rules, the Company is entitled to submit the Decision to the Listing Review Committee of the Stock Exchange (the Listing Review Committee) for review within seven business days from the date of the Decision. If the Company decides not to apply for a review, the Decision states that the last listing date of the Shares will be 6 November 2026, and the listing status of the Shares will be cancelled with effect from 9:00 a.m. on 9 November 2026. The Company is currently reviewing the Decision and discussing with its professional advisers whether to submit a request to refer the Decision to the Listing Review Committee for review. The Company will issue a further announcement in due course in accordance with the requirements of the Listing Rules. The Board wishes to remind shareholders and potential investors that even if the review process is initiated, the outcome of the review is uncertain. Shareholders who have any questions about the impact of the delisting of the Shares are advised to seek appropriate professional advice.
