With the development of fintech over the past decade or so, online customer acquisition, approval, and disbursement have become possible, gradually forming a massive interest chain around the credit business. However, amid the downturn in the real estate industry and a compliance storm in recent years, the industry is undergoing turmoil in both personnel and scale.
Amid industry fluctuations, some companies are still persistently knocking on the door of the capital markets. In mid-October 2026, Hong Kong mortgage brokerage services company FG Holdings Limited updated its IPO prospectus with the U.S. Securities and Exchange Commission (SEC), planning to list on Nasdaq under the ticker "FGO."
It is understood that FG Holdings Limited, as the listing entity, is a company incorporated in the BVI, mainly conducting business in Hong Kong through its operating subsidiaries Fundergo, RichestView, and Fundermall. Now, nearly two years have passed since it first submitted its filing to the SEC.
A Credit Intermediary from Hong Kong
It is learned that Fundergo was founded in 2019 and mainly provides private credit mortgage loan brokerage services and bank mortgage loan brokerage services in Hong Kong through a fintech platform. It is a financial services provider.
Benefiting from the rapid development of fintech in Hong Kong, many companies have shifted from offline operations to online, and Fundergo is one of them. The company has successfully developed a flexible and efficient fintech platform connecting borrowers and lenders. Its online mortgage brokerage platform is designed to be secure and easy to use, featuring a bilingual user interface, rapid execution through automated assessment simulations, and an excellent user experience.
Accordingly, the company leverages its expertise in the banking and financial industries, an extensive lender network, and an advanced fintech platform to provide borrowers with mortgage application simulations and a variety of mortgage options from different lenders, matching borrowers with the best loan options and connecting them with potentially suitable lendersin other words, the commonly known "middleman" service.
In addition to mortgage brokerage services, Fundergo also provides advisory services to its clients through the Fundergo platform and assists corporate clients in determining restructuring plans and exploring potential financing options. According to the prospectus, from its establishment to September 30, 2026, the company had provided loans exceeding HK$11.531 billion to 822 borrowers.
From a financial perspective, for the fiscal year ended June 30, 2026, the company's revenue was approximately HK$24.94 million, up 21.5% from HK$20.52 million the previous year; net profit increased from HK$6.4322 million to approximately HK$7.7638 million, an increase of 20.7%, broadly in line with the revenue growth rate.
In terms of revenue sources, the growth of the advisory services business was the main pillar driving the company's revenue growth, rising from approximately HK$19.569 million in fiscal 2025 to HK$23.2323 million. For fiscal years 2025 and 2026, the company provided loans to 49 and 56 advisory services borrowers, with total loan amounts of HK$1.94 billion and HK$1.043 billion (approximately US$133 million), and average fees of 1.01% and 2.23%, respectively.
In terms of private credit mortgage brokerage services, the company refers corporate or individual borrowers seeking mortgage financing or refinancing to private credit lenders (including licensed lenders, family offices, and credit funds). Since 2024, housing prices in the Hong Kong market have fluctuated significantly, and in 2026 they tended to stabilize; however, private credit lenders remain cautious when issuing mortgages. Therefore, Fundergo adopted a flexible strategy to capture market demand for purely real-estate-backed private credit mortgage brokerage services and advisory services. Revenue from private credit mortgage brokerage services at Fundergo and Richest View increased by 69.3% year over year.
On the profitability side, in fiscal 2026, the company's net margin edged down from 31.3% to 31.1%. Judging solely by the "paper" results, Fundergo, though "small but beautiful," delivered a report card of acceptable growth quality: while revenue expanded, its profit margin was not significantly eroded and remained at a relatively high level of over 30%.
However, the company's profit side diverged from its cash flow: in fiscal 2025, operating cash flow was a net inflow of HK$8.106 million, broadly matching that year's net profit of HK$6.4322 million, a healthy state of "profit booked + cash support." But in fiscal 2026, its operating cash flow abruptly turned to a net outflow of HK$2.1251 million, while net profit for the same period was at a high of approximately HK$7.7638 million. A large gap formed between net profit and operating cash flow, meaning the profits the company earned on paper were not converted into real cash inflows.
On closer inspection, this gap mainly stemmed from accounts receivable, which soared from HK$1.3985 million in fiscal 2025 to HK$11.26 million in fiscal 2026, achieving massive growth within a single year. For a credit company, accounts receivable are essentially uncollected loan principal and interest, unsettled service fees, or advanced overdue payments. Therefore, the change in the ratio of accounts receivable to revenue clearly deserves attention: in 2025, accounts receivable accounted for only 6.8% of that year's revenue, while in fiscal 2026 this ratio jumped to 45.15%.
On the other hand, during fiscal 2026, the company's selling expenses nearly doubled from approximately HK$3.96 million to approximately HK$7.5053 million, with their share of revenue rising from 19.3% to 30.1%. Among these, agency fees surged 2,781.7% to HK$3.3989 million, paid to third-party agents who refer borrowers to participate in the company's private credit mortgage brokerage services and advisory services. But whether revenue growth can be sustained by increasing sales investment may need to be tested by time.
Fierce Market Competition: How to Break Out?
In recent years, Hong Kong, as the bridgehead for the internationalization of China's financial industry, has always been a market with a highly developed financial industry that continuously embraces technological innovation, giving rise to an extremely massive demand for funds and a circulation market. At the same time, as one of the most expensive and liquid real estate markets in the world, Hong Kong's mortgage business, secured by such fixed assets, has become one of the favorite loan products of investors and banks over the past decade. But in recent years, with fluctuations in the economic environment and declining housing prices, the industry has also been somewhat affected.
In a volatile market, Fundergo's solution is to embrace "technology" means. It noted in its prospectus that the company's uniqueness lies in its ability to develop specialized technology, combined with financial expertise, and to embed these solutions into its own online platform. The company is one of the pioneers in the mortgage brokerage industry to successfully establish a fintech platform that quickly, flexibly, and simply connects borrowers and banks.
With massive data, artificial intelligence applications, and machine learning technologies, Fundergo's online platform effectively provides online property valuations, instant risk and credit assessments, and accurate lender matching results. In August 2023, the company acquired iMort as part of the Fundermall acquisition, a project that won the Credit Digitalization - Mortgage award at the Hong Kong Fintech Impetus Awards 2022 hosted by Metro Finance and KPMG.
But on the other hand, Hong Kong already has a large number of existing mortgage brokerage services and advisory services participants offering services similar to the company's. Among them are large competitors with better brand awareness and reputation in the market, broader value-added services, stronger human and financial resources, longer operating histories, and presence in more geographic regions. In addition, industry barriers to entry are low; new participants can enter the market simply by hiring suitable qualified professionals and obtaining the necessary regulatory licenses. A fiercely competitive market will create an unfavorable pricing environment, which may lead the company to lower service fees to compete with other market participants, potentially putting pressure on its ability to maintain profitability.
In addition, it is not hard to see that for fiscal years 2025 and 2026, Fundergo's business was also mainly driven by a few key customers. In fiscal 2025, the company's three largest customers accounted for 26%, 12%, and 12% of total revenue, respectively. In fiscal 2026, the company's three largest customers accounted for 29%, 16%, and 8% of total revenue, respectively, meaning more than 50% of the company's revenue came from a limited customer base, with customer concentration slightly high.
To seek greater development, Fundergo plans to use the IPO proceeds to expand and diversify its operations and product services; further consolidate its market position in existing markets and, leveraging the advantages of its online platform and overseas network, expand its geographic coverage to overseas markets; and further invest in information technology to optimize its online platform.
However, the current concentration of Hong Kong's mortgage market is not high, meaning all participants can get a share. As real estate gradually stabilizes and financing demand gradually recovers, companies with first-mover advantages and customer resources may gain more market share.
