Salesforce, Inc. (CRM.US) 58% Premium Acquisition Ignites M&A Expectations: Software Stocks Leap from AI Losers to the "Center Stage of the M&A Market"?
Jefferies stated that Salesforce's $5.66 billion deal could spur software industry consolidation, enhance marketing capabilities, and trigger speculation about an acquisition of Klaviyo.
As of the U.S. stock market close on October 20, shares of CRM cloud software giant Salesforce, Inc. (CRM.US) had risen 5.6% cumulatively since the start of October. In contrast, the Nasdaq Composite Index and the Philadelphia Semiconductor Index fell 1.6% and 10.6%, respectively, over the same period. Compared with the broad global technology sector, the stock's relative strength and clear trajectory of rising against the trend stand out.
The latest developments show that the company recently announced an agreement to acquire Braze at an enterprise value of $5.66 billiona striking premium of as much as 58%which can be seen as adding a new catalyst to the company's AI application layout. Wall Street financial giant Jefferies Financial Group Inc. (Jefferies) is bullish on marketing platform upgrades and industry consolidation, maintaining a "Buy" rating and a $300 price target, implying about 23.7% potential upside from the $242.43 closing price. Klaviyo, one of the leaders in AI application software, has therefore become a further potential acquisition target for Salesforce, Inc., while Adobe and Twilio face more intense competitive pressure in the enterprise-level AI application field. The major investment signal sent by this transaction is that software assets with customer data, business processes, and reach channels still have strategic value that large platforms are willing to pay a premium to acquire amid the AI application wave led by AI agents.
Salesforce, Inc.'s acquisition of Braze may trigger more software M&A transactions
The Jefferies analyst team said Salesforce, Inc.'s $5.66 billion transaction could drive software industry consolidation, strengthen marketing capabilities, and spark acquisition speculation around Klaviyo.
The institution said its blockbuster $5.66 billion acquisition of Braze (BRZE.US) could trigger further consolidation in the software industry. It believes the acquisition will strengthen Salesforce, Inc.'s marketing business and its competitive advantage over Adobe (ADBE.US), one of the software industry leaders, while also sparking a new round of speculation about large software industry acquisitions involving peers such as Klaviyo (KVYO.US).
After the Salesforce, Inc. and Braze transaction, marketing software consolidation may accelerate amid the major AI application wave. Jefferies noted that before Salesforce, Inc. reached its agreement with Braze, two other major software industry transactions had already emerged involving CCC Intelligent Solutions Holdings (CCCS.US) and Varonis Systems (VRNS.US). The institution listed Klaviyo as a potential acquisition target amid continued consolidation in the marketing technology industry.
Klaviyo helps consumer brands and online retailers use customer data to personalize marketing and customer communications. In the second quarter, its revenue grew 26% year over year to $370.6 million, prompting the company to raise its full-year sales revenue outlook.
CCC Intelligent Solutions agreed to accept a $6.1 billion cash acquisition by a consortium led by GTCR and Elliott Investment Management, with shareholders receiving $7.75 per share. Meanwhile, Varonis Systems agreed to accept a $6.3 billion all-cash acquisition proposal from Proofpoint, backed by private equity firm Thoma Bravo. Both transactions will take the acquired companies private.
Jefferies believes HubSpot (HUBS.US) is unlikely to be acquired, but if a transaction occurs, a private equity firm would be more likely to be the buyer.
Jefferies is bullish on the Braze transaction, believing the acquisition can inject vitality into Salesforce, Inc.'s Marketing and Commerce Cloud and enhance its ability to serve business-to-consumer (B2C) enterprise customers. The combined capabilities will also help Salesforce, Inc. compete more effectively with Adobe in digital marketing and customer engagement.
Braze completed 18 major technology and IP acquisitions within 18 months, expanding its products and technology. Jefferies believes this strategy has been effective and maintains its most bullish rating of "Buy" on Salesforce, Inc. and its $300 price target, showing confidence after the Braze transaction.
The transaction may pose challenges to Twilio (TWLO), which helps enterprises manage communications. Jefferies said the acquisition reflects the growing importance of customer engagement tools, but Salesforce, Inc.'s enhanced capabilities could intensify competition facing Twilio.
In addition, Salesforce, Inc. may reduce its reliance on external messaging service providers or push them to lower prices, thereby intensifying competition in the enterprise messaging and customer engagement services field.
From customer databases to "AI + marketing actions," the agent frenzy opens up monetization space for AI applications
On the Stocktwits platform, retail sentiment toward the stock remained "neutral," with related post volume surging 820% in the past 24 hours. One retail investor said: "Salesforce, Inc.'s cash acquisition of Braze at a 58% premium has reversed the trading logic for software stocks: for three years, the market shorted software as an AI loser, and now the biggest platforms are acquiring them. If the next stage of the AI trade is M&A, crowded short positions in software stocks face major squeeze risk."
Another retail investor believed software stocks were oversold excessively in 2026, mentioning Adobe, Salesforce, Inc., and ServiceNow. This user believed that despite the sharp decline in valuations, these "companies are still generating massive cash flow, deepening important layouts related to AI application software, and are at the core of enterprises' actual operations."
In the second quarter of fiscal 2027, Salesforce, Inc.'s AI agent application software platformAgentforcegenerated more than $1.5 billion in annual recurring revenue (ARR), up more than 240% year over year, a metric that includes Slackbot and Headless 360; the Claudeforce partnership further allows Claude to call its data and processes and execute business operations.
Braze's real-time customer engagement capabilities can convert behaviors such as browsing and purchasing into cross-channel marketing actions. Therefore, the underlying value of this latest acquisition undoubtedly lies in connecting customer data, AI decision-making, and marketing execution, expanding cross-selling opportunities, and enabling agent value to be realized in customer conversion and retention. This latest development also provides more concrete support for software stock valuations on the positive side of the AI application landscapethe data and enterprise-level operating processes that companies have accumulated over the long term can become an important foundation for AI agents to create business outcomes.
