Elon Musk said on Tuesday during SpaceX's (SPCX.US) third-quarter earnings conference call, in response to an analyst's question, that both SpaceX and Tesla, Inc. (TSLA.US) have established special committees to discuss a merger. His response that "a merger is a good idea" publicly endorsed a concept that could create one of the most valuable companies in the world. Although electric vehicle manufacturer Tesla, Inc. and rocket company SpaceX were once regarded as two businesses that were essentially independent, the boundaries between the two companies have gradually blurred as Musk continues to expand into areas such as artificial intelligence (AI), Siasun Robot&Automation, advanced manufacturing, satellite communications, and computing infrastructureincluding data centers on Earth and data centers that may in the future be deployed in orbit. Although Musk believes that a merger of the two companies is a good idea, he also noted that shareholders must support the transaction, especially on the Tesla, Inc. side. He said: "We need to get 50% of all shares voting in favor, not just 50% of the shares that have voted. That is, we must get support from 50% of the total shares held by all shareholders. That is a fairly high threshold." Why does Musk support the merger? The merger would create a comprehensive enterprise centered on Musk's long-term vision, integrating AI, energy, Siasun Robot&Automation, communications, and transportation businesses into a technology and manufacturing empire spanning Earth and beyond. Musk said on Tuesday: "I do think there is great value in combining the two companies, because we are basically already in the superintelligence singularity phase. In areas such as superintelligence software development, chip design, the Terafab project, Siasun Robot&Automation, large-scale transport of materials into orbit via the Starmind constellation (orbital data centers), and connectivity, cooperation can bring enormous benefits." Combining the two companies could also simplify decision-making. Many of Musk's projects already span multiple companies and require separate approval from different company boards and shareholders. A combined company would give management greater autonomy to deploy capital, engineering talent, and infrastructure in the areas it considers most promising. Musk has long argued that, in order to advance Tesla, Inc.'s AI and Siasun Robot&Automation strategy, he needs greater influence over Tesla, Inc. He holds nearly one-fifth of Tesla, Inc.'s shares and has voting control of SpaceX. A merger of Tesla, Inc. and SpaceX could further consolidate and entrench his influence. What does this mean for investors? Tesla, Inc. shareholders would have the opportunity to participate in SpaceX's fast-growing Starlink broadband business, rocket launch services business, and future space exploration projects. SpaceX investors would gain ownership of Tesla, Inc.'s automotive, energy storage, autonomous driving, and Siasun Robot&Automation businesses. The combined company could also rank among the most valuable enterprises in the world, with a market value of approximately $3.5 trillion, and would integrate their respective leadership positions in areas such as automobiles, Siasun Robot&Automation, satellite communications, rocket launch services, energy storage, and AI infrastructure. Supporters might argue that, as the interdependence among the businesses deepens, the combined company would be able to allocate capital more efficiently across different businesses. However, critics argue that investors would thereby bear a broader range of technological, regulatory, and execution risks, some of which have little to do with one another. Where can SpaceX and Tesla, Inc. cooperate? Starlink satellites could provide connectivity for Tesla, Inc.'s robotaxis, autonomous driving systems, and future generations of Optimus humanoid Siasun Robot&Automation. Tesla, Inc.'s batteries and energy storage products could help meet SpaceX's growing power needs, including future data center projects. Musk has already announced a major cooperation project between SpaceX and Tesla, Inc.Terafab. This is a semiconductor and AI computing project aimed at producing advanced chips to meet the development needs of Tesla, Inc.'s autonomous vehicles and Optimus Siasun Robot&Automation, as well as SpaceX's AI and data center businesses. Musk hopes the project can begin large-scale mass production by the end of 2028. Tesla, Inc.'s expertise in large-scale factory automation could complement SpaceX's efforts to industrialize Starship production. At the same time, SpaceX technology has already been applied to Tesla, Inc. products, most notably Tesla, Inc.'s plan to use components derived from rocket technology in the next-generation Roadster sports car. The combined company could also coordinate the layout of strategic supply chains, combining Tesla, Inc.'s scale advantages in batteries, semiconductors, and manufacturing equipment with SpaceX's demand for specialty metals, electronic components, propulsion system parts, and satellite hardware. What are the potential downside risks? The biggest challenge may come from GEO Group Inc political and regulatory aspects. SpaceX is an important contractor for the U.S. military, intelligence agencies, and the National Aeronautics and Space Administration (NASA). At the same time, Tesla, Inc. remains deeply connected to the Chinese market, and its Shanghai factory plays an important role in vehicle production and sales. This business combination could invite stricter scrutiny from U.S. regulators and national security officials. The merger would also face obstacles related to shareholder approval and corporate governance. Investors would need to believe that combining two companies with already complex business structures can create more value than operating them independently. Questions about conflicts of interest, voting control, and capital allocation would also inevitably follow. In addition, there is execution risk. Starship, robotaxis, humanoid Siasun Robot&Automation, AI data centers, mobile communications, and orbital infrastructure are all costly and technically extremely difficult investment projects. Merging Tesla, Inc. and SpaceX would not reduce these risks; it would only concentrate them under a single enterprise.
