WORLD DIGI ECON (03708) announces that on 20 October 2026 (after trading hours), the Company entered into a subscription agreement with the subscribers, pursuant to which the subscribers have conditionally agreed to subscribe for, and the Company has conditionally agreed to allot and issue, a total of 78.25 million subscription shares at a subscription price of HK$0.182 per subscription share. The subscription shares represent approximately 10.76% of the existing issued share capital of the Company as at the date of this announcement, and approximately 9.72% of the issued share capital of the Company as enlarged by the subscription shares (assuming there is no other change in the issued share capital of the Company from the date of this announcement to the completion date). The subscription price of HK$0.182 per subscription share represents a discount of approximately 16.89% to the closing price of HK$0.219 per share as quoted on the Stock Exchange on 20 October 2026 (being the date of the subscription agreement). The gross proceeds and net proceeds (after deducting relevant expenses and professional fees) from the subscription will be approximately HK$14.242 million and HK$14.232 million respectively. The net price per subscription share is approximately HK$0.182. The Company intends to use the proceeds from the subscription as general working capital of the Group.
