Tesla, Inc. (TSLA.US) Shareholder Meeting Preview: Musk's Compensation and Director Re-election in Focus, Merger Rumors with SpaceX Heat Up
Tesla submitted its 2026 annual shareholder meeting proxy statement to the U.S. Securities and Exchange Commission (SEC) on Monday.
Tesla, Inc. (TSLA.US) submitted a shareholder proxy statement to the U.S. Securities and Exchange Commission (SEC) on Monday, proposing that at the annual shareholder meeting on December 3, shareholders re-elect Chief Executive Officer Elon Musk, Board Chair Robyn Denholm, and director JB Straubel as Class I directors, each for a three-year term.
Board Chair Denholm said the company has achieved a great deal, but in the board's view, Tesla, Inc.'s growth potential remains at an early stage. Denholm wrote: "We remain focused on cost discipline and maintaining a strong financial position to support our ambitious long-term goals." She added: "Tesla, Inc. has already reshaped multiple industries, spanning electric vehicles and energy storage systems. Now we are excited to bring superintelligence (SI) into the physical world."
The filing comes nearly a year after Tesla, Inc.'s board granted Musk a performance award promoted as a $1 trillion compensation package.
The summary compensation table shows that Musk's 2025 CEO performance award includes approximately 423.7 million restricted shares, with total compensation listed at $158.4 billion.
The $1 trillion performance award is divided into 12 tranches, all of which are currently unvested. Each tranche requires both a market capitalization threshold ranging from $2 trillion to $8.5 trillion and operating targets to be met simultaneously; the unvested shares carry voting rights proportionate to other shares.
Musk exercised all 303.96 million options under his 2018 incentive plan on June 16. Another 286.4 million restricted shares will vest in January 2028, subject to his continued service in a management role.
Tesla, Inc. disclosed that it spent months communicating directly with the U.S. SEC to build a voluntary voting mechanism for individual retail investors and ultimately obtained a formal no-action letter from the SEC.
Under Tesla, Inc.'s share pledge policy, the secured loans Musk can obtain by pledging shares are capped at the lower of $3.5 billion and 25% of the market value of the pledged shares.
Musk holds nearly 20% of Tesla, Inc.'s shares, of which 207.5 million have been pledged; Vanguard Capital Management holds 5.3% of Tesla, Inc.'s shares.
Rumors of a Potential Merger with SpaceX Heat Up, Annual Shareholder Meeting Becomes a Focal Point
Notably, market speculation about a potential merger between Tesla, Inc. and SpaceX is also heating up. Barclays analyst Dan Levy believes the two sides may announce a deal before Tesla, Inc.'s annual shareholder meeting on December 3, and the speculation has drawn market attention to the future business integration and valuation arrangements of the two companies.
However, as of now, neither company has officially confirmed a merger plan, and Tesla, Inc.'s latest shareholder proxy statement does not list the merger as an explicit voting item. Therefore, whether the annual shareholder meeting will involve related transactions remains to be confirmed by subsequent company announcements.
If a merger proposal is put forward in the future, the transaction structure, valuation arrangements, shareholder interests, and the required regulatory approvals and shareholder approval procedures could all become key focuses for investors. For Tesla, Inc., the relationship between board governance, Musk's long-term incentive mechanism, and potential business integration may also come under further market scrutiny.
