LEADER EDU (01449) announces that, regarding the sale and purchase agreement entered into between Shuren Education Limited (Shuren), the controlling shareholder of the company, and Scienjoy Innovation Labs Inc. (Scienjoy), with Ms. Dong Ling acting as guarantor, concerning the sale and purchase of 239 million shares of the company for a consideration of approximately HK$103 million. The board of directors has been informed by Shuren that the conditions precedent set out in the sale and purchase agreement have been fulfilled, and the transaction was completed on October 15, 2026. The sale shares (representing approximately 29.9% of the company's issued share capital as at the date of this announcement) have been transferred to Scienjoy.
