Hong Kong SFC implements amendments to the Securities and Futures (Stock Market Listing) Rules, adding post-listing conditions and an independent review mechanism, effective in the first quarter of 2027.
On October 12, the Hong Kong Securities and Futures Commission published its consultation conclusions, stating that it will strengthen targeted tools under the Securities and Futures (Stock Market Listing) Rules (the "Stock Market Listing Rules") to address initial public offering cases and post-listing matters, thereby enhancing the regulatory efficiency of Hong Kong's listing market and investor protection.
On 12 October, the Securities and Futures Commission (SFC) published its consultation conclusions on enhancing the targeted tools under the Securities and Futures (Stock Market Listing) Rules (SMLR) to deal with initial public offering cases and post-listing matters, thereby enhancing the regulatory efficiency of Hong Kong's listing market and investor protection.
In view of the general support in the market during the consultation period for the proposed amendments to the SMLR, the SFC will implement the proposals with certain clarifications and minor modifications in response to respondents' comments. Subject to the progress of the legislative process, the SFC currently expects the amended SMLR and the related amendments to the Securities and Futures Ordinance (SFO) to take effect in the first quarter of 2027.
The amendments will allow the SFC to impose conditions on listing applicants that may continue to apply after listing, and to impose post-listing conditions on listed issuers as an alternative to an immediate trading suspension, while streamlining the procedure for resuming trading.
In addition, the SFC will introduce a new mechanism for independent review by the Securities and Futures Appeals Tribunal of decisions made by the SFC under the SMLR (including decisions relating to the imposition of conditions, and suspension and resumption of trading), thereby enhancing procedural fairness and transparency.
Ms Julia Leung, the SFC's Executive Director of Corporate Finance, said: "The broad support in the market for the proposed enhancements reflects the shared commitment of all parties to maintaining a high-quality and resilient listing market in Hong Kong, which is of paramount importance to consolidating Hong Kong's position as a leading international financial centre. In keeping with our balanced and front-loaded regulatory approach, the enhancements will provide the SFC with more targeted and proportionate tools to address emerging risks before they cause harm to our market, thereby safeguarding market integrity and supporting the market's high-quality development."
The SFC will arrange for the publication in the Gazette of the notice of the amendments to the SMLR, together with the Government's notice of the amendments to Schedule 8 to the SFO. The two notices will be submitted to the Legislative Council shortly for the negative vetting procedure.
